These Terms of Use (“Terms”) govern access to the X Compose Utility AI website and submission of a pilot request. By using the website, you agree to these Terms.
1. About the website
X Compose Utility AI is a product of X Compose Inc. The website provides information about a developing building utility intelligence product and allows eligible users to request consideration for a pilot.
2. Informational content
Website content is provided for general product information. It is not engineering, accounting, legal, financial, environmental, safety, or maintenance advice. You should use qualified professionals for decisions requiring professional judgment, inspection, or compliance review.
3. Pilot requests
Submitting a request does not guarantee selection, access, analysis, a particular result, or any future commercial arrangement. We may accept, decline, pause, or limit a pilot based on suitability, capacity, data availability, security, product readiness, and other reasonable factors.
Any selected pilot may be subject to additional written terms covering scope, confidentiality, data handling, responsibilities, permitted use, and duration.
4. Analysis limitations
Utility AI output depends on the quality, completeness, timing, and accuracy of the available information. Findings may include estimates, assumptions, forecasts, confidence indicators, and possible anomalies for review. A signal is not proof of a leak, equipment failure, billing error, code violation, or other condition.
Users remain responsible for verifying findings and deciding whether to involve a utility provider, licensed trade, engineer, accountant, lawyer, building professional, or emergency service.
5. Your responsibilities
You agree to:
- provide accurate information to the best of your knowledge;
- submit only data you are authorized to provide and use;
- avoid including unnecessary payment, account, resident, or sensitive information;
- follow the agreed process for sharing utility documents or building records;
- use findings responsibly and verify material decisions independently; and
- not misuse the website, interfere with operation, attempt unauthorized access, or submit harmful content.
6. Resident and unit data
You are responsible for confirming that any resident or unit-level data is collected, disclosed, and used with appropriate authority and in accordance with applicable privacy, condominium, strata, tenancy, and other requirements. Resident add-on availability is not guaranteed.
7. Intellectual property
The website, product names, logos, design, software, text, graphics, and other materials are owned by X Compose Inc. or its licensors and are protected by applicable intellectual property laws. Except as permitted by law or written agreement, you may not copy, modify, distribute, reverse engineer, or use them to create a competing product.
8. Third-party services and links
The website may rely on or link to third-party services. We do not control third-party websites and are not responsible for their availability, content, security, or practices. Your use of a third-party service may be governed by separate terms.
9. Disclaimer
To the extent permitted by law, the website and its content are provided “as is” and “as available,” without warranties of accuracy, completeness, fitness for a particular purpose, non-infringement, availability, or error-free operation. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
10. Limitation of liability
To the extent permitted by law, X Compose Inc. will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, opportunities, or savings arising from use of the website or reliance on its content. Liability that cannot legally be excluded remains subject to applicable law.
11. Suspension or changes
We may change, suspend, or discontinue any website feature or pilot offering. We may also restrict access where needed to protect the service, users, data, or legal rights.
12. Governing law
These Terms are governed by the laws of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Courts located in Ontario will have jurisdiction, subject to any rights you may have under mandatory local law.
13. Changes to these Terms
We may update these Terms as the website, product, or legal requirements change. Continued use after an update means the revised Terms apply from their effective date.
